1. Acceptance of Terms

• These Terms govern access to and use of all NOARKTECH (NOARK TECHNOLOGIES PRIVATE LIMITED) products, platforms, hardware, software, APIs, dashboards, advisory systems, and connectivity services.

• Covered solutions include WildGuard AI™, FarmSentinel AI™, WildNet One™, GuardianOS™, and ArkSage™.

• By purchasing, deploying, accessing, or using any service, you agree to be legally bound by these Terms.

• If acting on behalf of an organization, you represent authority to bind that entity.

• If you do not agree to these Terms, you must discontinue use immediately.

• Continued use constitutes acceptance of updates and amendments to these Terms.

2. Scope of Services

• NOARKTECH provides environmental intelligence, agricultural risk modeling, wildlife detection, and climate resilience technologies.

• Services may include hardware devices, firmware, SaaS dashboards, APIs, AI advisory agents, and hybrid connectivity systems.

• Solutions may operate in agricultural, forest, conservation, infrastructure, and institutional environments.

• Certain features may require subscription, enterprise agreements, or deployment contracts.

• Service availability may vary based on geography, connectivity, and infrastructure constraints.

• NOARKTECH reserves the right to modify, enhance, suspend, or discontinue features at its discretion.

3. Eligibility & User Responsibilities

• Users must be at least 18 years old and legally competent to enter contracts.

• Institutional users must have proper authorization to bind their organization.

• Users agree to provide accurate, complete, and updated information.

• Users are responsible for secure credential management and account protection.

• Devices must be deployed in compliance with local laws and regulatory frameworks.

• Users remain responsible for operational decisions made using NOARKTECH outputs.

4. License Grant & Restrictions

• NOARKTECH grants a limited, non-exclusive, non-transferable, revocable license to use services.

• License is restricted to intended operational purposes only.

• Users may not reverse engineer, decompile, copy, modify, or create derivative works.

• Model extraction, scraping, or competitive training using outputs is strictly prohibited.

• Hardware design, firmware, AI algorithms, and advisory logic remain proprietary.

• Unauthorized use may result in suspension, termination, and legal enforcement.

5. Intellectual Property Rights

• All AI models, detection systems, firmware, dashboards, APIs, analytics, and documentation remain NOARKTECH property.

• Branding including WildGuard AI™, FarmSentinel AI™, WildNet One™, GuardianOS™, and ArkSage™ is protected intellectual property.

• Users acquire no ownership rights through purchase or subscription.

• Aggregated and anonymized insights remain exclusively owned by NOARKTECH.

• Any improvements, feedback, or enhancements provided by users may be incorporated without obligation.

• Intellectual property violations may result in injunctive relief and damages.

6. AI Advisory & Risk Disclaimer

• Outputs are predictive, probabilistic, and decision-support in nature.

• AI alerts may include pest risk, wildlife intrusion, landslide probability, wildfire signals, and climate stress indicators.

• NOARKTECH does not guarantee prevention of crop loss, environmental damage, or wildlife conflict.

• Outputs should not replace human judgment or regulatory compliance procedures.

• Users assume full responsibility for final operational decisions.

• NOARKTECH disclaims warranties regarding accuracy, completeness, or suitability of predictions.

7. Hardware Deployment Terms

• Risk of loss transfers upon delivery unless otherwise agreed.

• Proper installation and environmental compliance remain user responsibility unless contracted otherwise.

• Unauthorized tampering voids warranty protections.

• Firmware updates may be deployed remotely to ensure security and performance.

• Hardware specifications may evolve without prior notice.

• Environmental damage, force majeure events, or misuse are excluded from liability.

8. Subscription, Billing & Payment

• Certain services require subscription, SaaS licensing, or enterprise agreements.

• Users agree to timely payment of all fees and applicable taxes.

• Non-payment may result in suspension or termination of services.

• Subscription fees may be revised with reasonable notice.

• Refunds, if applicable, are governed by contractual agreements.

• Billing disputes must be raised within specified timeframes.

9. Data Usage & Analytics Rights

• Users retain ownership of personal information submitted.

• Environmental raw data rights may vary based on deployment agreements.

• NOARKTECH retains rights to anonymized, aggregated, and derivative analytics.

• AI models may improve using cross-deployment learning.

• Users may not commercially exploit system outputs without authorization.

• Data usage is governed by applicable privacy regulations and agreements.

10. Acceptable Use Policy

• Users may not interfere with network integrity or system performance.

• Malicious activity, hacking attempts, or data manipulation are prohibited.

• Services may not be used for unlawful, harmful, or deceptive activities.

• Users may not deploy devices in violation of environmental or telecom regulations.

• Misuse may result in account suspension or legal action.

• NOARKTECH reserves enforcement rights to protect system integrity.

11. Limitation of Liability

• Services are provided “as is” and “as available.”

• NOARKTECH is not liable for crop loss, wildlife damage, infrastructure loss, or environmental harm.

• The Company is not responsible for third-party connectivity or cloud disruptions.

• Indirect, incidental, special, and consequential damages are excluded.

• Total liability shall not exceed fees paid in the preceding twelve months.

• These limitations apply to the maximum extent permitted by law.

12. Indemnification

• Users agree to indemnify NOARKTECH against claims arising from misuse or regulatory violations.

• Indemnification includes damages, losses, legal fees, and associated costs.

• Claims related to improper deployment or data misuse fall under user responsibility.

• Users are responsible for compliance with environmental and telecom laws.

• NOARKTECH reserves defense rights in applicable claims.

• Indemnification obligations survive termination.

13. Confidentiality

• Confidential information includes system architecture, documentation, pricing, and proprietary analytics.

• Users agree not to disclose confidential information without written consent.

• Obligations survive termination of agreements.

• Disclosure may occur if legally mandated.

• Users must implement reasonable safeguards to protect shared information.

• Breach of confidentiality may result in legal remedies.

14. Termination & Suspension

• NOARKTECH may suspend or terminate services for breach, non-payment, or security risk.

• Users may terminate subject to contractual obligations.

• Upon termination, license rights cease immediately.

• Outstanding financial obligations remain due.

• Data retention may continue in anonymized form.

• Termination does not waive accrued legal rights.

15. Governing Law & Dispute Resolution

• These Terms are governed by the laws of India.

• Jurisdiction lies exclusively in courts located in Idukki, Kerala, India.

• Disputes may be resolved through arbitration where applicable.

• Force majeure events excuse performance delays.

• Export control laws must be observed.

• These Terms constitute the entire agreement unless superseded by signed enterprise contracts.
